Terms of Service

These terms are the agreement between you and NicePublish. Please read them carefully — they explain what you can expect from us and what we expect from you.
1. Acceptance of these terms
NicePublish (the "Service") is operated by TrendClick Limited (Hong Kong) ("NicePublish", "we", "us"). By creating an account, connecting a Page or otherwise using the Service, you agree to these Terms of Service, our Acceptable Use Policy and our Privacy Policy. If you use the Service on behalf of a company or other organization, you confirm that you are authorized to accept these terms for it, and "you" includes that organization.
You must be at least 18 years old and able to form a binding contract to use the Service.
2. The Service
NicePublish lets you connect Facebook Pages you manage and, through Meta's official APIs, compose, schedule and publish posts to them, add first comments, read and reply to comments on posts published through NicePublish, view engagement and insights, organise Pages by client, invite clients to connect their own Pages through hosted connect links, and integrate through our API and webhooks.
NicePublish works with Facebook Pages only. It is an independent product and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.
We may improve, change or discontinue features from time to time. If we remove a feature that is material to paid plans, we will give reasonable notice.
3. Your account
- Give accurate information when you sign up and keep it up to date.
- Keep your password and API keys confidential. You are responsible for all activity under your account and keys.
- Tell us promptly at [email protected] if you suspect unauthorized access.
- One person or organization per account. Don't share accounts or create accounts to get around limits or a suspension.
4. Your responsibilities
You are responsible for the Pages you connect and the content you publish through the Service. In particular, you agree to:
- only connect Pages you are authorized to manage — for example Pages where you have an appropriate Page role, or Pages whose owner has authorized you;
- only publish content you own or have the rights to share, including text, photos, videos and links;
- comply with Meta's Terms of Service, Community Standards, Page, Groups and Events Policies and any other Meta policies that apply to your Pages;
- comply with our Acceptable Use Policy and all applicable laws, including advertising, consumer protection, privacy and intellectual property laws;
- review what you schedule. NicePublish publishes what you (or your integration) ask it to publish, at the time you choose.
5. API and webhooks
If your plan includes API access, you may use the NicePublish API to integrate the Service with your own software, subject to these terms, the API documentation and any published rate limits. You must not use the API to exceed or circumvent plan limits, to collect data from Facebook beyond what the Service provides for your own connected Pages, or in any way that harms the Service or other users. We may change the API with reasonable notice and may suspend keys that are being misused.
6. Clients and integrators
If you use NicePublish to manage Pages for others — for example as an agency, or as a software platform that sends connect links to your own customers — you are responsible for your relationship with those clients and end users. You must make sure they understand that their Pages will be managed through NicePublish, obtain any consents and authorizations required by law and by Meta's policies, honour their requests to stop or delete, and only act on their Pages as they have authorized. You are responsible for your clients' and end users' use of the Service through your account.
7. Plans, free trial and billing
- Free trial. New accounts get a 14-day free trial without a payment card. Trial limits are shown on our pricing page. When the trial ends, publishing pauses until you choose a paid plan; we do not charge you automatically at the end of a trial.
- Subscriptions. Paid plans are billed in advance, monthly or yearly, in US dollars, and renew automatically at the end of each billing period until you cancel. Payments are processed by Stripe or Airwallex.
- Cancellation. You can cancel at any time from your billing page. Your plan stays active until the end of the period you have paid for and does not renew afterwards.
- Refunds. Fees are non-refundable and we do not provide partial refunds for unused time, except where required by law.
- Price changes. We may change our prices. We will give you at least 30 days' notice by email before a price change applies to your subscription, and you may cancel before it takes effect.
- Taxes. Prices exclude taxes unless stated otherwise. You are responsible for any applicable sales tax, VAT, GST or similar taxes, which may be added at checkout.
- Failed payments. If a payment fails, we may pause publishing until it is resolved.
8. Suspension and termination
You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access, with or without notice, if you materially or repeatedly breach these terms or the Acceptable Use Policy, if your use creates risk or legal exposure for us, other users or Meta, if required by law, or if Meta restricts our access because of your use. Where reasonable we will tell you why and give you a chance to fix the problem. On termination your right to use the Service ends and we will delete your data as described in our Privacy Policy.
9. Third-party platforms
The Service depends on Meta's platform and APIs, which we do not control. Meta may change, limit or withdraw API features, permissions or metrics, change how posts are displayed, or take action on your Pages or Facebook account. We will adapt the Service where we reasonably can, but we are not responsible for Meta's actions, for content removed or restricted by Meta, or for features that become unavailable because of changes Meta makes. Your use of Facebook remains subject to Meta's own terms.
10. Intellectual property and licence
Your content remains yours. You grant us a limited, worldwide, non-exclusive licence to host, store, process and transmit your content solely to provide the Service to you — for example to publish it to your Pages at the time you choose. This licence ends when your content is deleted from the Service.
We own the Service, including its software, design and branding. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or trial. You must not copy, modify, reverse engineer or resell the Service, except as these terms allow (for example, agencies and platforms on plans that include clients or the API may provide services to their own clients using NicePublish).
If you send us feedback, we may use it without obligation to you.
11. Disclaimers
We work hard to make NicePublish reliable, but the Service is provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free, that every post will be published at the exact scheduled time, or that Facebook will accept or display every post.
12. Limitation of liability
To the extent permitted by law, NicePublish will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, arising from or related to your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.
13. Indemnity
You agree to defend, indemnify and hold harmless NicePublish and its personnel from any claims, damages, losses and expenses (including reasonable legal fees) arising from your content, your use of the Service, your breach of these terms or the Acceptable Use Policy, or your clients' and end users' use of the Service through your account.
14. Governing law
These terms are governed by the laws of Hong Kong, without regard to conflict-of-law rules, and disputes will be resolved by the competent courts there. If you are a consumer, you also keep any protections given to you by the mandatory laws of the country where you live.
15. Changes to these terms
We may update these terms from time to time. We will post the new version here and update the date at the top. For significant changes we will notify you by email or in the app at least 30 days before they take effect. If you keep using the Service after changes take effect, you accept the updated terms; if you don't agree, you can cancel and delete your account.
16. General
These terms, together with the policies they reference, are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.
